Terms of Service

The Service is an agentic supply chain platform. Access is currently offered as a gated demo and to design-partner pilots, and may be limited, pre-release, or changed at any time. Demo data is illustrative and not intended for operational decisions.

Access requires credentials we issue. You are responsible for keeping credentials and any admin access token confidential and for all activity under your access. Notify us promptly of any unauthorized use.

You agree not to: (a) misuse, probe, or attempt to gain unauthorized access to the Service or other tenants’ data; (b) reverse engineer or copy the Service except as permitted by law; (c) upload unlawful, infringing, or harmful content; (d) interfere with the integrity or performance of the Service; or (e) use the Service to build a competing product.

You retain all rights in data you submit (“Customer Data”). You grant SCMX a limited license to process Customer Data solely to provide and improve the Service, subject to our Privacy Policy and any separate agreement. You are responsible for having the rights to submit Customer Data.

The Service, including its software, models, and content, is owned by SCMX and its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service, no rights are granted to you.

The Service produces recommendations and analyses generated by software and AI, which may be incomplete or incorrect. High-impact actions are gated by guardrails and require human approval. You are responsible for reviewing outputs before acting on them.

Non-public information disclosed in connection with the Service is confidential and may be used only to exercise rights and perform obligations under these Terms.

Demo access is provided free of charge unless otherwise agreed. Paid plans and any outcome-based fees are governed by a separate order or agreement.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCMX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the claim, or USD 100 if none.

We may suspend or terminate access at any time, including for violation of these Terms. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the jurisdiction in which SCMX is established, without regard to conflict-of-laws rules. (To be finalized by SCMX.)

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance. Material changes are reflected by the “Last updated” date.
